SEBI Master Circular for issuers of listed Non-convertible Securities, Securitized Debt Instruments and Commercial Paper
SEBI recently released a Master Circular for covering the operational and procedural aspects related to listing obligations and disclosure requirements for issuers of Non-convertible Securities, Securitized Debt Instruments and/ or Commercial Paper. The Circular covers Formats for filing financial information, Limited Review Report/ Audit Report for issuers of Non-convertible Securities, Statement indicating utilisation and Statement indicating deviation/ variation in the use of proceeds, disclosure of Corporate Governance, review of rating and payment obligations, Disclosure of the Impact of Audit Qualifications by Listed Entities, Disclosures by listed entities of defaults on payment of interest/ repayment of principal amount on loans from banks/ financial institutions and unlisted debt, Disclosure obligations of listed entities in relation to its Related Party Transactions, Non-compliance with provisions related to continuous disclosures among other things.
