Independent Directors of Dish TV have questioned the SEBI for not giving them a hearing before passing an order to freeze their demat accounts which is against the principles of natural justice. SEBI took this action as the company failed to disclose the voting results of an Annual General Meeting held in December, 2021. SEBI had issued two advisories to the company to disclose the results of the AGM. But the company had been citing its application and case in the Bombay High court to avoid disclosing the results. As per the Independent Directors, communication between SEBI and Company were out of their knowledge, hence to hold IDs responsible for the non-disclosure of the AGM results without giving them a hearing is unreasonable.
