The Ministry of Corporate Affairs to protect the interest of Independent Directors issued a circular stating that any directors, whether independent and non-executive directors, would be given remuneration in circumstances where companies have made a loss or where profit is inadequate.

MCA also notified the maximum Remuneration to be payable by companies having no profit or inadequate profit to other directors or directors (non-executive director or an independent director) by amending Schedule V of the Companies Act, 2013. Earlier the limit was only for managerial persons.
