Clarification on the Passing of Ordinary and Special Resolution on Account of the Threat Posed by COVID-19
It has been clarified by the Ministry of Corporate Affairs (MCA) that companies can take decisions of urgent nature requiring member’s approval through postal ballot/e-voting in accordance with the provisions of the Companies Act, 2013 and rules there under without the requirement of physical holding of any meeting.
