Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Fifth Amendment) Regulations, 2019
- The Business Responsibility Report (BRR) describes the initiatives taken by the listed entities from an environmental, social and governance perspective. A format for the BRR has been specified by SEBI, which requires the entities to provide the general information about the company, financial details of the company and information on principles and core elements of the BR.
- As on 22nd December, 2015 SEBI, vide an amendment to Regulation 34 (2) (f) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015( effective from 1st April, 2016) had extended the applicability of Business Responsibility Report to top five hundred listed entities from top hundred listed entities based on market capitalisation as on March 31 of every year.
- Recent Amendment(s) are provided as under:
- Amendment to Regulation 34 (2) (f) has further extended the applicability of Business Responsibility Report to top “one thousand” listed entities from “five hundred” listed entities based on market capitalisation (calculated as on March 31 of every financial year).
- Further, a new proviso is inserted to Regulation 42(2), wherein in the case of rights issues, the listed entity shall give notice in advance of at least three working days (excluding the date of intimation and the record date) to stock exchange(s).
- The above-mentioned amendments will be effective from 26th December, 2019
